Guidelines for accessing and using the Mergeport API and integration services

1. Introduction

These Terms and Conditions (“Terms”) govern access to and use of the Mergeport API, platform services, and related developer resources (“Services”) provided by Loomitech GmbH, Königsklostergasse 7/6, 1060 Vienna, Austria (“Mergeport”).

By accessing or using the Services, the Developer (“Partner”, “Customer”, or “You”) agrees to be bound by these Terms.

2. Scope of Services

Mergeport provides a cloud-based platform that enables developers to integrate third-party services, data flows, and system interfaces using standardized APIs.

The scope includes:

  • Access to API documentation and technical support.

  • Use of Mergeport infrastructure for integration and data exchange.

  • Optional access to service dashboards and operational tools.

Mergeport reserves the right to modify, suspend, or discontinue Services at its sole discretion.

3. Developer Responsibilities

Developers using the Mergeport Services agree to:

  • Ensure sufficient technical proficiency in REST APIs, HTTP protocols, and JSON.

  • Maintain the security and confidentiality of API keys and access credentials.

  • Avoid any misuse, reverse engineering, or unauthorized access to the platform.

  • Comply with all applicable laws, including data protection and export control regulations.

4. Availability and Support

Mergeport makes reasonable efforts to ensure high availability and technical support:

  • Developer Support is available during business hours (Mon–Fri, 09:00–17:00 CET).

  • Platform Availability is based on serverless cloud infrastructure with redundant deployment (AWS Lambda, EU region).

  • Mergeport reserves limited maintenance windows and will notify partners of scheduled downtimes in advance.

5. Data Protection and Privacy

Mergeport processes personal and system data solely for the purpose of fulfilling its services.

  • Mergeport acts as a data processor under the GDPR (Art. 4 No. 8).

  • Mergeport will not disclose user data to third parties, especially not to competitors.

  • All data processing adheres to the legal bases defined in Art. 6 GDPR and relevant national laws.

6. Intellectual Property

Mergeport retains all rights, title, and interest in its platform, APIs, documentation, and related technologies.

  • Developers may use the Services solely for the intended integration purpose.

  • Any feedback or suggestions provided by developers may be used by Mergeport without obligation.

7. Liability Disclaimer

Mergeport is not liable for:

  • Interruptions or failures caused by third-party software or services.

  • Developer-side misconfigurations or misuse of the API.

  • Network issues or local infrastructure failures.

Mergeport’s Services are provided “as is” and “as available” without warranties of any kind.

8. Termination

Either party may terminate the use of the Services at any time with written notice.

Mergeport may suspend or revoke access immediately in the event of a breach, misuse, or security concern.

9. Amendments

Mergeport reserves the right to amend these Terms at any time. Updates will be made available at www.mergeport.com. Continued use of the Services constitutes acceptance of the updated Terms.

10. Governing Law and Jurisdiction

These Terms are governed by Austrian law. The place of jurisdiction is Vienna.

Prior to legal action, both parties agree to seek an out-of-court resolution.

11. Severability

If any provision of these Terms is held invalid or unenforceable, the remaining provisions shall remain in full force and effect. The invalid provision will be replaced by a legally valid clause closest in intent and purpose.
